Critical Minerals and Foreign Investments: Navigating National Security Challenges
Abstract: The presentation will canvass the national security review (NSR) provisions of the Investment Canada Act (ICA), recent amendments to the ICA, the March 2022 Report of the House of Commons Report of the Standing Committee on Industry and Technology on the Neo Lithium Acquisition, the announcement of Canada’s Critical Minerals Policy in October 2022 and several recent national security reviews in the critical minerals space (including the ordered divestiture of foreign investments in three Canadian companies in November 2022, the cancelled sale of a 19.4% interest in SRG Mining to Carbon One New Energy, the cancelled sale of a 15% interest in Solaris Resources to Zijin Mining, Paladin Energy’s proposed acquisition of Fission Uranium and Pan American Silver’s sale of the La Arena mine to Zijin Mining). The presentation will then discuss legal uncertainties in the application of the NSR regime to non-Canadian transactions, redomiciling of critical mineral companies outside of Canada, the novel use of vendor undertakings to successfully resolve a recent NSR, the importance of use of proceeds in NSRs and contractual terms and conditions to address NSR issues in acquisition and investment agreements. The presentation will conclude that greater certainty is required in the application of NSRs to equity investments in Canadian critical minerals companies, offshore transactions and sales of junior companies.

BIO: Fred R. Pletcher is chair of the Mining Group and a partner at Borden Ladner Gervais LLP. He works out of BLG’s Vancouver office. Fred has over 30 years’ experience advising on a broad range of mining transactions and issues, both domestically and internationally. Fred is recognized as a leading mining lawyer by all major ranking publications, including Chambers, Best Lawyers, IFLR 1000, The Legal 500, Lexpert and Reuters. He has degrees from Columbia University (LL.M), University of Toronto (LL.B.) and Harvard University (A.B.) and was called to the British Columbia bar in 1993. Fred has served as: an Adjunct Professor at the Allard School of Law at the University of British Columbia; a Trustee of the Rocky Mountain Mineral Law Foundation; and a Director of the Vancouver Symphony Orchestra. He is a frequent speaker and author on mining law issues.
