Due Diligence for Mergers and Acquisitions (M&A) with a Focus on Site Visits
Abstract: The stated goal of criticality during due diligence for mining M&A is often not aligned with the subliminal reality of both buy and sell side incentives for closing deals. The financial model for assessing any potential business or project relies heavily on data. Gaps in data rooms are often more material than optimistic, pessimistic, or benchmark data estimates since risk cannot be identified or quantified for unknown information. To close these gaps, site visits are often performed starting after an initial “Stage 1” desktop red flag analysis as part of “Stage 2” of due diligence for mining M&A. Many different executives, business units, consultants, and/or investors may end up participating in one or more site visits. This is a discussion on the technical 5 W’s of site visits and some practical tips and traps that may prove valuable while performing site visits.
About our presenter:
BIO: Akoo Patel is a senior executive with over 30 years of experience in mining, metallurgy, operations, and capital projects, with a focus on business growth, strategy, and governance. He is the founder of Summo Gradu Mines Corp., a start-up mining company, and the CEO of Humilis Pensar Associates Inc., a technical mining strategic advisory business. Previously, he served as President of the Americas for a publicly traded global advisory consulting company, where he oversaw regulatory studies, public reporting, technical due diligence, and M&A strategy and support consulting in the mining sector. Akoo has also held key positions at RPA Inc., Kinross Gold Corp., and SNC-Lavalin Inc., managing operations and projects ranging from small capex to multi-billion-dollar ventures. A licensed Professional Engineer and a member of the Institute of Corporate Directors, he has extensive experience leading large teams and advising at the C-suite and board levels across five continents.
