Through the Looking Glass: The Extractive Sector Transparency Measures Act

Andrew Powers is a partner in the Toronto office of Borden Ladner Gervais LLP. Andrew focuses on corporate and securities matters with an emphasis on corporate finance and mergers and acquisitions. He has acted for public and private companies and investment dealers on a range of acquisitions, securities offerings and other corporate transactions. Andrew’s experience in corporate finance includes advising issuers and investment dealers on public and private offerings of debt and equity securities, both domestically and cross-border, with an emphasis on offerings in the mining and precious metals sector.

On December 16, 2014, the federal Extractive Sector Transparency Measures Act (the “Act”) received royal assent. The Act contains broad reporting obligations with respect to payments to governments made by oil and gas and mining companies and is intended to supplement anti-corruption measures enshrined in the Criminal Code and the Corruption of Foreign Public Officials Act. This presentation will take an in-depth look at the Act and address these key questions: who must report? What must be reported? How do you report? What are the penalties for non-compliance?
